To achieve this, the Company’s board of directors (Board) has adopted a number of charters and policies which aim to ensure that value is created whilst accountability and controls are commensurate with the risks involved.
The Board believes that the Company’s policies and practices comply with the recommendations set out in the ASX Corporate Governance Principles and Recommendations – 4th Edition (Recommendations).
Together with the Company’s constitution (Constitution), the following charters and policies have been adopted by the Company to achieve a high standard of corporate governance.
TheCorporations Amendment (Meetings and Documents) Act 2022 (Amendment Act) includes a new requirement for public companies and listed companies to give shareholders notice of their right to elect to be sent documents electronically or physically by the company in section 110K of the Corporations Act.
The legislative changes to the Corporations Act 2001 (Cth) mean there are new options for how OpenLearningLimited (‘OLL’ or ‘Company’) shareholders receive communications. OLL will no longer send physical meeting documents unless a shareholder requests a copy to be mailed.
